Resolution of the City of Hampton, Virginia (“City”) (i) Approving the Terms and Conditions of a Cooperation Agreement between the City and the Economic Development Authority of the City of Hampton (“EDA”), (ii) Approving the Terms and Conditions of a Memorandum of Understanding (“MOU”) by and Among the City, the EDA and Hampton University (“HU”), and (iii) Authorizing the City Manager or her Authorized Designee to Execute and Deliver the Cooperation Agreement, the MOU and any and all Agreements that are in Substantial Compliance with the Aforesaid Documents with such Modifications as Agreed to by the City Staff and with the Concurrence of the City Attorney for the Purpose of Providing Limited Bus Shuttle With a Card Reader System for HU Students from Hampton University to Downtown Hampton and the Coliseum Central Area

 

 

Purpose

PURPOSE/BACKGROUND:

Hampton University has expressed a need for shuttle transportation for Hampton University students who have limited transportation options to key shopping destinations in Downtown Hampton and the Coliseum Central Business District. Through meetings with Hampton University; Walgreen’s in Downtown, Walmart in Coliseum Central, and Peninsula Town Center also in Coliseum Central were identified as key destinations for students.  Hampton University expressed interest in having shuttle service begin during the spring semester of 2017.  

 

On December 27, 2016, the City of Hampton and EDA advertised a Request for Proposals (RFP) to provide “shuttle service” (HU Shuttle) to these destinations on a semester basis.  There were four responders to the RFP and the city and EDA staff negotiated with the top two bidders.  On January 26, 2017, the city’s procurement division issued a Notice of Intent to award a contract to Fun Tours, Incorporated, which was selected based on its experience, competitive pricing, and newness of the equipment.

 

The cost of the shuttle service will primarily be recuperated through rider fees.  Students will pay a boarding fee each time they board the bus initially set at $2.00 for the initial trial semester for a total of $4.00 per round trip. The fee will be paid using the student’s “Pirate Power Smart Card” (Pirate Card) which operates like a debit card for student expenses.  Hampton University will provide a card reader to Fun Tours, Incorporated to use for the Pirate Card system.  There will be no exchange or collection of money between the driver and the passenger.  Through an MOU, Hampton University agrees to remit the collected fees to the EDA.

 

The City is asked to approve a Memorandum of Understanding by and among the EDA, City and HU, and a Cooperation Agreement for the purpose of the HU Shuttle Service and management of the Pirate Card system and funding of the contract costs of the Shuttle Service.

Body

WHEREAS, the Council of the City of Hampton (the “Council”) has set as a priority investing in amenities that will enhance and expand retail shopping in Downtown Hampton and the Coliseum Central Business District as reflected in its Community Plan;

WHEREAS, the EDA was created for the purpose of promoting industry and developing trade by inducing manufacturing, industrial, governmental, nonprofit enterprises, commercial enterprises, and institutions of higher learning to locate or remain in the City, as well as to promote and encourage the creation and development of new businesses in the City;

WHEREAS, the EDA proposes to accomplish Council’s priority by issuing a Request for Proposals RFP 17-55 EA to provide and operate a limited shuttle bus service from Hampton University to Downtown Hampton and the Coliseum Central Business District on the weekends;

WHEREAS, the successful respondent to the Request for Proposals RFP 17-55 EA is Fun Tours, Incorporated, (“Contractor”) and negotiations between the EDA and Contractor have culminated in an award of a contract for the bus shuttle operation (the “Project”);

WHEREAS, HU desires to participate in the Project by providing the card reader to the Contractor to collect rider fees from the HU students using the bus shuttle and to remit said fees to the EDA, which terms of said proposal are memorialized in a Memorandum of Understanding (“MOU”) by and among the City, the EDA and HU, a copy of which is attached to this resolution;

                     WHEREAS, the EDA has determined that the Project cannot be facilitated without financial participation by the City;

                     WHEREAS, Council is willing to financially participate in the Project by entering into a cooperation agreement (“Cooperation Agreement”) to meet the obligations of the EDA under the contract and the MOU, subject to appropriations;

                     WHEREAS, the Council has determined that the Project will further economic development of the City,  and  the Council’s and the EDA’s priorities in direct and indirect economic benefits provided, and will enhance and expand retail shopping in Down town Hampton and the Coliseum Central District,  and is therefore in the best interest of the citizens of the City; and

WHEREAS, the City Council has determined that the transactions negotiated with the Contractor for the Project, and with the EDA and HU as set forth in the MOU, are acceptable.

                     NOW, THEREFORE, BE IT RESOLVED, by the Council of the City of Hampton, Virginia, as follows:

                     1.                     That it approves the terms of the Memorandum of Understanding and Cooperation Agreement attached hereto; and

                     2.                     That the City Manager or her Authorized Designee are authorized to execute and deliver the Memorandum of Agreement, the Cooperation Agreement and any and all agreements that are in substantial compliance with the aforesaid documents with such modifications as agreed to by the city staff and with the concurrence of the City Attorney.
