Resolution Determining Damuth Trane to be the Only Source Practicably Available from which to Procure Heating and Air Conditioning Equipment and Services and Authorizing the Negotiation and Execution of a Purchase Contract with Damuth Trane as a “Sole Source”
Purpose
PURPOSE/BACKGROUND:
The Facilities Division of the Department of Public Works maintains a number of public buildings that have heating and air conditioning equipment manufactured by Damuth Trane (“Damuth”). Damuth is the only vendor authorized to supply equipment, service, and warranties on Damuth-manufactured heating and air conditioning systems.
The City recognizes the public interest in providing the most efficient means reasonably available and affordable to maintain equipment in all public buildings. The price at which Damuth Trane has offered for its parts and service have been determined to be fair and reasonable. The Manager of Consolidated Procurement approves this sole source procurement.

WHEREAS, the Facilities Division of the Department of Public Works maintains a number of public buildings that have heating and air conditioning equipment manufactured by Damuth Trane;
WHEREAS, Damuth Trane is the only vendor authorized to supply equipment, service, and warranties on Damuth Trane-manufactured heating and air conditioning systems;
WHEREAS, the City recognizes the public interest in providing the most efficient means reasonably available and affordable to maintain equipment in all public buildings; and
WHEREAS, the price at which Damuth Trane has offered for its parts and service have been determined to be fair and reasonable.
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Hampton, Virginia as follows:
1. That the Resolution determining Damuth Trane to be the only source practically available from which to procure parts and services for Damuth Trane heating and air conditioning equipment is approved;
2. That the contract for procuring goods and services described herein may be negotiated and awarded to Damuth Trane as a “sole source” without competitive sealed bidding or competitive negotiation as set forth in Virginia Code Section 2.2-4303(E);
3. That the City Manager or her authorized designee is hereby authorized to negotiate and execute a purchase contract with Damuth Trane; and
4. That the notice awarding the contract to Damuth Trane shall be posted in a public place pursuant to Virginia Code Section 2.2-4303(E).
