Resolution Determining The Novak Consulting Group, Inc. to be the Only Source Practicably Available From Which to Procure the Services of Facilitators for a City Council Retreat and Executive Workshop on the Topic of High Performance Governance
Purpose
PURPOSE/BACKGROUND:
The City Manager wishes to hold a City Council Retreat and Executive Workshop to enhance the functioning of our local government through a discussion of the various roles, values and different perspectives among City Council, Council Appointees and Executives. In order to be successful, the retreat and workshop should be led by an expert in the council-manager form of government, whose experience both as an academic and elected official has led to the development of the Governance Model that will be shared. The Novak Consulting Group, Inc. contains facilitators with this expertise.
It is expected that with a fresh perspective on the part of City Council, Council Appointees and Executive Staff, there will be a new appreciation for the public service values underlying policy decisions, and the impact of various roles and perspectives among policy makers and administration in trying to reconcile what is politically and socially acceptable with what is administratively feasible and sustainable.
For these reasons, the recommendation is for approval of this resolution.

WHEREAS, the purpose of the City Council Retreat and Executive Workshop is to promote an understanding of the importance of roles, values, and different perspectives in creating effective governing bodies and bridging the gap among City Council, Council Appointees and the City’s Executive Leadership;
WHEREAS, The Novak Consulting Group, Inc. (“Novak Consulting”) is a foreign corporation properly registered with the Virginia State Corporation Commission, with its principal office located in Cincinnati, Ohio and a registered agent at Incorp Services, Inc. at 7288 Hanover Green Drive, Mechanicsville, Virginia 23111;
WHEREAS, Novak Consulting is comprised of facilitators recognized as thought leaders and experts in the field of governance and the Council Manager form of government, with one member having developed the Governance Model, to be shared at the retreat and workshop, which he teaches across the country at workshops and retreats with local governing bodies, for professional associations such as ICMA, at executive leadership development programs, and within university settings;
WHEREAS, those facilitators have established themselves as uniquely qualified to lead sessions on the Governance Model among governing bodies, having extensive experience working in local government as a City Manager or Mayor, in addition to their roles as consultants, and, for one of them, as a university professor;
WHEREAS, the Hampton City Council determined the preferred and only practicably available source for the City Council retreat for Fiscal Year 2020 is Novak Consulting; and
WHEREAS, Novak Consulting has offered its services for this purpose at a price which is fair and reasonable.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF HAMPTON, VIRGINIA:
1. That the contract for the facilitation of a City Council retreat during Fiscal Year 2020 procuring the services described above may be negotiated and awarded to The Novak Consulting Group, Inc. as the “sole source” without competitive sealed bidding or competitive negotiation as set forth in Code of Virginia §2.2-4303(E);
2. That the City Manager, or her authorized designee, is hereby authorized to negotiate and execute a purchase contract with Novak Consulting Group, Inc.; and
3. That the notice awarding the contract to The Novak Consulting Group, Inc. shall be posted in a public place pursuant to Code of Virginia §2.2-4303(E).
